1. Acceptance of Terms

By creating an account or using SoulMemo, you agree to these Terms of Service. If you do not agree, do not use the app.

2. Service Description

SoulMemo is a voice-based mental health journaling application. It allows you to record voice entries, which are transcribed and analyzed using artificial intelligence to provide mood tracking, pattern recognition, and reflection prompts.

3. NOT a Medical Device — Critical Disclaimer

SoulMemo is NOT a medical device, NOT a diagnostic tool, and NOT a substitute for professional mental health care.

• The AI analysis is for informational and self-reflection purposes only.
• Mood scores, risk assessments, and clinical tags are generated by machine learning models and may be inaccurate, incomplete, or misleading.
• Do NOT rely on SoulMemo for medical decisions, treatment planning, or crisis intervention.
• Always consult a qualified healthcare professional for mental health concerns.

4. Crisis Detection Disclaimer

SoulMemo includes an automated crisis detection feature that attempts to identify signs of suicidal ideation or acute safety risks in your journal entries.

This feature is NOT reliable and must NOT be depended upon for safety.

• The crisis detection system may fail to identify genuine emergencies.
• It may produce false positives or false negatives.
• Technical failures, network issues, or AI model errors can disable crisis detection entirely.

If you or someone you know is in crisis:

• Call emergency services (112 in UAE, 911 in US, 999 in UK)
• Contact the Crisis Text Line: text HOME to 741741
• Call the Suicide Prevention Lifeline: 988 (US)
• Do NOT wait for or rely on app notifications

5. Age Restriction

SoulMemo is intended for users aged 18 and older. By using the app, you confirm that you are at least 18 years old.

6. Your Account

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity under your account.
• You may delete your account at any time.

7. Acceptable Use

You agree not to:

• Use the app for any unlawful purpose
• Attempt to reverse-engineer, decompile, or extract source code
• Attempt to manipulate or circumvent the AI analysis systems
• Share your account credentials with others
• Use automated tools to access the service

8. Intellectual Property

• The SoulMemo application, its code, design, and AI models are the property of CARDIGITAL FZCO.
• Your journal entries, recordings, and transcripts remain your property.
• By using the service, you grant us a limited license to process your content solely for the purpose of providing the service.

9. Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms, pose a security risk, or if required by law.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• SoulMemo is provided “as is” and “as available” without warranties of any kind.
• We are not liable for any damages arising from your use of the service.
• We are not liable for failure of the crisis detection system.
• The app does not create a provider-patient relationship of any kind.

11. Indemnification

You agree to indemnify and hold harmless CARDIGITAL FZCO from any claims arising from your use of the service or violation of these terms.

12. Governing Law

These Terms are governed by the laws of the United Arab Emirates. Disputes shall be subject to the exclusive jurisdiction of the DIFC Courts in Dubai, UAE.

13. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated at least 14 days before taking effect.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force.
